1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Gidens, Inc. ("Gidens," "we," "us," or "our"), a Delaware corporation, governing your use of Gidget Business Assistant ("Gidget"), accessible at gidget.gidens.com.

By accessing or using Gidget, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must discontinue use of Gidget immediately.

2. Description of Service

Gidget is an AI-powered business growth assistant designed to help small business owners streamline workflows, navigate compliance and permitting requirements, automate administrative tasks, and access relevant business insights. Gidget is operated by Gidens, Inc., a Delaware corporation headquartered in Ewa Beach, Hawaii.

We reserve the right to modify, suspend, or discontinue any aspect of Gidget at any time with reasonable notice.

3. Eligibility and Account Registration

You must be at least 18 years of age and capable of forming a binding contract to use Gidget. By using Gidget, you represent that you meet these requirements.

You may register using Google Sign-In. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to notify us immediately at info@gidens.com if you suspect unauthorized access to your account.

4. Acceptable Use

You agree to use Gidget only for lawful purposes and in accordance with these Terms. You agree not to:

• Use Gidget in any way that violates applicable federal, state, local, or international law or regulation, including the laws of the State of Hawaii.
• Attempt to gain unauthorized access to any part of Gidget or its infrastructure.
• Use Gidget to transmit spam, malicious code, or any content that is harmful, fraudulent, or deceptive.
• Reverse engineer, decompile, or attempt to extract the source code or underlying AI models of Gidget.
• Resell, sublicense, or commercially exploit Gidget or its outputs without our express written permission.
• Use automated tools, bots, or scrapers to access Gidget beyond normal intended use.

5. AI-Generated Content and Limitations

Gidget uses artificial intelligence to generate responses, recommendations, and assistance. You acknowledge and agree that:

• AI outputs are provided for informational and productivity purposes only. They do not constitute legal, financial, tax, or professional advice.
• AI-generated content may occasionally be inaccurate, incomplete, or outdated. You are responsible for independently verifying any information before relying on it for business decisions.
• Gidens makes no guarantees regarding the accuracy, completeness, or fitness for any particular purpose of AI-generated outputs.
• Compliance requirements, permit processes, and regulations vary by jurisdiction and change frequently. Always consult qualified professionals for legal and regulatory matters.

6. Intellectual Property

Gidens and Gidget, including all associated branding, design, software, and proprietary AI workflows, are owned by Gidens, Inc. and protected by applicable intellectual property laws.

You retain ownership of the business information and content you provide to Gidget. By submitting content to Gidget, you grant Gidens a limited, non-exclusive license to process and use that content solely to provide the service to you.

AI outputs generated by Gidget in response to your inputs are provided for your use. You may use such outputs for your lawful business purposes, subject to these Terms.

7. Privacy

Your use of Gidget is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

8. Fees and Payments

Gidget may offer free and paid tiers of service. Any fees, billing terms, and subscription details will be clearly disclosed before you incur any charges. All fees are in U.S. dollars unless otherwise stated.

We reserve the right to modify our pricing with reasonable advance notice. Continued use of paid features after a price change constitutes acceptance of the new pricing.

9. Disclaimers

Gidget is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Gidens disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that Gidget will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Gidens, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use Gidget.

In no event shall Gidens's total liability to you exceed the greater of (a) the amount you paid to Gidens in the twelve months preceding the claim, or (b) one hundred dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Gidens, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of Gidget, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate this agreement at any time. You may stop using Gidget and delete your account at any time. We reserve the right to suspend or terminate your access to Gidget if we reasonably believe you have violated these Terms, with or without notice depending on the severity of the violation.

Upon termination, your right to use Gidget ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitation of liability.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Gidens, Inc. is incorporated in the State of Delaware.

Any disputes arising under or related to these Terms or your use of Gidget shall first be submitted to good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

14. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by email or by posting a notice within Gidget at least 14 days before changes take effect. Your continued use of Gidget after the effective date of updated Terms constitutes your acceptance of the changes.
